Common use of Reports and Access to Information Clause in Contracts

Reports and Access to Information. The Company shall furnish --------------------------------- promptly to ▇▇▇▇▇▇: (a) a copy of each report, schedule and other document filed or received by the Company during such period pursuant to the requirements of federal and state securities laws, if any, (b) all other material information concerning the business, properties and personnel of the Company and any other materials as ▇▇▇▇▇▇ may reasonably request. ▇▇▇▇▇▇ will not use such information for purposes other than this Agreement and will otherwise hold all confidential material contained in such information in confidence (and ▇▇▇▇▇▇ will cause its consultants and advisors to also hold such information in confidence), and (c) within 120 days after the end of each fiscal year of the Company, an audited balance sheet of the Company as at the end of such year and audited statements of income and of cash flows of the Company for such year, certified by certified public accountants of established national reputation selected by the Company, and prepared in accordance with GAAP. The foregoing financial statements shall be prepared on consolidated basis, if the Company then has any subsidiaries. To the extent such information is publicly available on the Internet, the Company shall have fulfilled its obligations under this Section 5.13.
