The Company has furnished Investor with complete and accurate copies of its annual report on Form 10-K for its most recent fiscal year, all other reports or documents required to be filed by the Company pursuant to Section 13(a) or 15(d) of the Securities Exchange Act since the end of its most recent fiscal year and its most recent annual report to its stockholders. Such reports and filings do not contain any untrue statement of a material fact and do not omit to state any material fact necessary in order to make the statements set forth therein, in light of the circumstances under which they were made, not misleading. The Company has advised Investor, however, that the SEC has requested that amendments be made to the Company's 1997 Form 10-K and its 1998 third quarter Form 10-Q and the Company filed draft amendments in this regard with the SEC on March 5, 1999.
