Common use of Reports to Rating Agencies Clause in Contracts

Reports to Rating Agencies. The Indenture Trustee shall provide to each Rating Agency copies of statements, reports and notices, to the extent received or prepared by the Master Servicer hereunder, as follows: (i) copies of amendments to this Agreement; (ii) notice of any substitution or repurchase of any Mortgage Loans; (iii) notice of any termination, replacement, succession, merger or consolidation of either the Master Servicer or the Trust; (iv) notice of final payment on the Class A Notes; (v) notice of any Event of Servicing Termination; (vi) copies of the annual independent auditor’s report delivered pursuant to Section 3.11 herein, and copies of any compliance reports delivered by the Master Servicer hereunder including Section 3.10 herein; and (vii) copies of any Servicing Certificate pursuant to Section 5.03 herein.

Reports to Rating Agencies.
