Common use of Reports to the SEC Clause in Contracts

Reports to the SEC. GreenPoint Mortgage Funding, Inc., as Manager under the Management Agreement, shall, on behalf of the Trust, cause to be filed with the SEC any periodic reports required to be filed under the provisions of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the SEC thereunder. Upon the request of the Manager, the Indenture Trustee shall make available to the Manager and the Sponsor a copy of the statement to the Certificateholder for each Distribution Date to be filed with the SEC by the Manager as a Form 8-K Current Report of the Trust. The Indenture Trustee and the Sponsor shall cooperate with the Manager in the preparation of any such periodic reports and shall provide to the Manager in a timely manner all such information or documentation as the Manager may reasonably request in connection with the performance of its duties and obligations under this Section.
