Common use of Reports to the Underwriter Clause in Contracts

Reports to the Underwriter. For a period of three (3) years from the Effective Date, the Company will use its best efforts to file with the Commission periodic and special reports as required by the Exchange Act and will also promptly furnish to the Underwriter such additional documents and information with respect to the Company and the affairs of any future Subsidiaries of the Company as the Underwriter may from time to time reasonably request; provided the Underwriter shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Underwriter and Cozen O’▇▇▇▇▇▇ in connection with the Underwriter’s receipt of such information.
