Common use of Representation and Warranties of the Sellers Clause in Contracts

Representation and Warranties of the Sellers. Except as set forth in the corresponding sections of the disclosure schedule to this Agreement to be delivered by the Sellers to the Company and Purchaser on the date hereof (the “Seller Disclosure Schedule”) (each of which qualifies representations, warranties or covenants outlined in the correspondingly numbered Section of this Agreement and any other representations, warranties or covenants where its relevance as an exception to (or disclosure for purposes of) such other representations, warranties or covenants is reasonably apparent on the face of the disclosure), or as set forth below, each Seller hereby represents and warrants to Purchaser as follows:
