Representation and Warranty of Parent. Parent represents, warrants and covenants that to its Knowledge all of the representations and warranties provided by Company in this Section 3 are true and correct and there is no fact, circumstance, occurrence or omission which would, with or without the passage of time, with or without notice, make any such statement untrue.
