REPRESENTATION AND WARRANTY OF PURCHASER. The Purchaser represents and warrants to the Vendor that the projections attached to the Disclosure Letter represent a reasonable, best efforts projection for the Purchaser, (excluding the expenses contemplated by this Agreement, which expenses shall be no greater than $1,250,000) based on all facts known by the Purchaser as at the date of the Disclosure Letter, for the 1998 calendar year.
