The Each of the parties hereto acknowledge and agree that the terms of this Agreement were negotiated at arm’s length and that each party to this Agreement has been been, or has had an opportunity to be represented by separate counsel in connection with this Agreement and the transactions matters contemplated by this Agreement. Accordingly, any rule of Lawlaw, or any legal decision that would require interpretation of any claimed ambiguities in this Agreement against the party that drafted it has no application and is expressly waived. The provisions of this Agreement shall be interpreted in a reasonable manner to effect the intent of the parties.
