Representation on Authority of Parties/Signatories. Each party represents and warrants to the other that (i) the individual representative signing this Agreement on behalf of such party has the authority to do so; (ii) the execution and delivery of the Agreement and the performance of such party’s obligations hereunder have been duly authorized; (iii) the Agreement is a valid and binding agreement of the party, enforceable against the party in accordance with its terms; and (iv) the execution and delivery of this Agreement and performance of the duties and obligations contemplated hereby does not constitute a default under, or breach of, any instrument or obligation to which the party is bound.
