Common use of Representation / Warranty Clause in Contracts

Representation / Warranty. You warrant and represent that you are not bound by any commitment, including any contract of employment or consultancy, which restricts or would preclude you from accepting to serve as a consultant to, or member of, the Board or as Non-Executive Chairman of the Board, or from fulfilling your obligations, as outlined in this letter. You agree to defend and indemnify the Company against any claims by third parties arising from your acceptance of such position(s) or the performance of your functions outlined above.
