Common use of Representations and Warranties; Compliance with Conditions Clause in Contracts

Representations and Warranties; Compliance with Conditions. The representations and warranties of Borrowers contained in this Agreement and the other Loan Documents shall be true and correct in all material respects on and as of the Closing Date, and no event shall have occurred and be continuing that would constitute, by reason of the execution, delivery and performance of this Agreement or the other Loan Documents, the grant of the Liens on the Properties contemplated hereby, the making of the Loan, or the consummation of the other transactions contemplated by this Agreement or the other Loan Documents, a Default or an Event of Default; and Borrowers shall be in compliance in all material respects with all terms and conditions set forth in this Agreement and in each other Loan Document on its part to be observed or performed.
