REPRESENTATIONS AND WARRANTIES OF ACQUIROR AND SUB. Subject to the disclosures set forth in the Acquiror Disclosure Schedules prepared by the Acquiror and Sub and delivered to the Company concurrently with the parties’ execution of this Agreement (the “Acquiror Disclosure Schedules”), and each of which disclosures shall also be deemed to be representations and warranties made by the Acquiror and Sub to the Company under this Article IV, the Acquiror and Sub hereby represents and warrant to Company as follows:
