REPRESENTATIONS AND WARRANTIES OF AIR RESPONSE ENTITIES AND SHAREHOLDERS. Air Response Entities and the Shareholders, jointly and severally, make the following representations and warranties to ARMT and Capece, each of which is true and correct, to the best of their knowledg▇, ▇▇ the date hereof, shall remain true and correct to and including the Effective Date, and shall survive the Closing of the transactions provided for herein for a period of one year. Notwithstanding anything to the contrary herein, all representations and warranties of the Air Response Entities and the Shareholders are made in reliance, and conditioned, upon the representations and warranties made by Louis Capece, Jr. herein in Article 5B.
