REPRESENTATIONS AND WARRANTIES OF CITADEL. Citadel represents, warrants and covenants solely for the benefit of comScore as follows: 7.3.1. Citadel has the full, right, power and authority to enter into this Agreement and to fully perform its obligations hereunder. 7.3.2. The performance of its obligations under this Agreement shall not be a breach of any separate agreement by which Citadel is bound. In addition, Citadel acknowledges that the representation and warranty provided by comScore in Section 7.1.14 is not intended to relieve Citadel of its obligations to comply with all foreign, domestic, state, and local laws and regulations that apply to Citadel.
