REPRESENTATIONS AND WARRANTIES OF EMMIS AND MEDIACO. Except as set forth in the correspondingly numbered Schedules, it being understood and agreed that each disclosure set forth in the Schedules shall qualify or modify each of the representations and warranties set forth in this Article V to the extent the applicability of the disclosure to such representation and warranty is readily apparent from the text of the disclosure made (without reference to any additional information, investigation, or documentation), Emmis and Mediaco hereby represent and warrant to Purchaser as of the date of this Agreement and as of the Closing Date as follows (with “Emmis” as used in this Article V referring to Emmis and the Emmis Subsidiaries, as applicable):
