Representations and Warranties of Executive. Executive hereby represents and warrants to Employer that to the knowledge of Executive, Executive is not bound by any non-competition or other agreement which would prevent his performance hereunder.

Executive hereby represents and warrants to Employer that to the knowledge of Executive, Executive is not bound by any non-competition competition, confidentiality or other agreement which would prevent his Executive's execution, delivery and performance hereunderof this Agreement. The Executive agrees to indemnify and hold harmless the Employer for any liability the Employer may incur as the result of the existence of any such obligation.

Executive hereby represents and warrants to Employer that to the knowledge of Executive, that: (a) Executive is not bound by subject to any non-competition restriction contained in any agreement, court order or otherwise, including without limitation any agreement with a prior employer or other agreement which would prevent his performance hereunderprincipal, against entering into this Agreement or performing in accordance with its terms. (b) Executive has not provided Employer with any Proprietary Information of any third party, without appropriate authorization to do so.
