REPRESENTATIONS AND WARRANTIES OF MPC AND THE MPC STOCKHOLDERS. Except as set forth in the Disclosure Schedules to this Agreement, disclosure in any one of which shall apply to any and all representations and warranties made by the Stockholders in this Agreement and for purposes of Section 3.17, MPC and the Stockholders hereby jointly and severally represent and warrant to DPW, as of the date of this Agreement and as of the Closing Date, as follows:
