Representations and Warranties of Price Services. Price Services represents and warrants to the Fund that: ▇. ▇▇ is a corporation duly organized and existing and in good standing under the laws of Maryland; ▇. ▇▇ is duly qualified to carry on its business in Maryland, Colorado, Florida, District of Columbia, Illinois, Massachusetts, New Jersey, New York, Virginia and California; ▇. ▇▇ is empowered under applicable laws and by its charter and by-laws to enter into and perform this Agreement; 4. All requisite corporate proceedings have been taken to authorize it to enter into and perform this Agreement; ▇. ▇▇ is registered with the Securities and Exchange Commission as a Transfer Agent pursuant to Section 17A of the xd4 34 Act; and ▇. ▇▇ has and will continue to have access to the necessary facilities, equipment and personnel to perform its duties and obligations under this Agreement.
