REPRESENTATIONS AND WARRANTIES OF PRINCIPAL STOCKHOLDER Clause Samples

The "Representations and Warranties of Principal Stockholder" clause sets out the specific statements and assurances that the main shareholder of a company makes to the other parties in a transaction. These representations typically cover the stockholder's authority to enter into the agreement, ownership of shares, absence of legal conflicts, and compliance with laws. For example, the principal stockholder may confirm that they have clear title to their shares and that no third-party consents are needed for the transaction. This clause is essential for providing the other parties with confidence in the legitimacy and enforceability of the transaction, helping to allocate risk and prevent future disputes over ownership or authority.
