REPRESENTATIONS AND WARRANTIES OF PUBLIC COMPANY AND THE MERGER SUB Clause Samples

This clause sets out the specific statements of fact and assurances made by the public company and its merger subsidiary regarding their status, authority, operations, and other relevant matters in connection with a merger transaction. Typically, it covers aspects such as the legal existence and good standing of both entities, their power to enter into the agreement, compliance with laws, and the accuracy of financial statements. By providing these representations and warranties, the clause ensures that the other party can rely on the truthfulness of key information, thereby allocating risk and establishing a basis for potential remedies if any statements prove to be false.
