Representations and Warranties of Sobiks and WLF. To induce YTIX -------------------------------------------------- to enter into this Agreement and to consummate the transactions contemplated hereby, Sobiks and WLF represent and warrant, as of the date hereof and as of the Closing, as follows: 2.1.1 Sobiks and WLF have the full right, power and authority to enter into this Agreement and to carry out and consummate the transactions contemplated herein. This Agreement constitutes the legal, valid and binding obligation of Sobiks and WLF. Sobiks hereby expressly represents and warrants that the approval of the shareholders of Sobiks is not required in order for Sobiks to consummate the transactions contemplated herein.
