Representations and Warranties of the Collection Agent. The Collection Agent represents and warrants to the Company and the Bank Investors that: (a) Corporate Existence and Power. The Collection Agent is a national banking association duly organized, validly existing and in good standing under the laws of the United States and has all corporate power and all material governmental licenses, authorizations, consents and approvals required to carry on its business in each jurisdiction in which its business is now conducted. The Collection Agent is duly qualified to do business in, and is in good standing (or is exempt from such requirements) in, every other jurisdiction in which the nature of its business requires it to be so qualified, except where the failure to be so qualified or in good standing would not have a Material Adverse Effect.
