Common use of Representations and Warranties of the Credit Agreement Clause in Contracts

Representations and Warranties of the Credit Agreement. The representations and warranties as to such Grantor and its Subsidiaries made in Article III (Representations and Warranties) of the Credit Agreement are true and correct on each date as required by Section 2.2 of the Credit Agreement in all material respects (without duplication of any materiality qualifier contained therein), except to the extent that such representation or warranty expressly relates to an earlier date (in which event such representation or warranty was untrue or incorrect in any material respect (without duplication of any materiality qualifier contained therein) as of such earlier date).

Representations and Warranties of the Credit Agreement. The representations and warranties as to such Grantor and its Restricted Subsidiaries made in Article III (Representations and Warranties) of the Credit Agreement are true and correct (a) if such date is the Closing Date, on each and as of such date as required by Section 2.2 of the Credit Agreement and (b) otherwise, in all material respects (without duplication of any materiality qualifier contained therein), except to the extent that but in all respects if such representation or warranty is qualified by “material” or “Material Adverse Effect”) on and as of such date or, to the extent such representations and warranties expressly relates relate to an earlier date (in which event such representation or warranty was untrue or incorrect in any material respect (without duplication of any materiality qualifier contained therein) date, on and as of such earlier date), as required by Section 3.2 of the Credit Agreement.
