Common use of Representations and Warranties of the Depositor as to the Contracts Clause in Contracts

Representations and Warranties of the Depositor as to the Contracts. The Depositor hereby represents and warrants to the Trustee with respect to each Contract that, as of the Closing Date, assuming good title has been conveyed to the Depositor, the Depositor had good title to the Contracts and Mortgage Notes, and did not encumber the Contracts during its period of ownership thereof, other than as contemplated by the Agreement. It is understood and agreed that the representations and warranties set forth in this Section 2.04 shall survive delivery of the Contract Documents to the Trustee, or to the Custodian on the Trustee's behalf.
