REPRESENTATIONS AND WARRANTIES OF THE PARENT PARTIES Clause Samples

The "Representations and Warranties of the Parent Parties" clause sets out the specific statements of fact and assurances that the parent parties make to the other party in a contract. These representations may cover areas such as the parent parties' authority to enter into the agreement, their financial condition, compliance with laws, and the absence of undisclosed liabilities or litigation. By providing these assurances, the clause helps to allocate risk between the parties and ensures that the other party can rely on the accuracy of the information provided by the parent parties when entering into the agreement.
