Representations and Warranties of the Shareholder and the Corporation. The Shareholder and the Corporation represent and warrant to the Purchaser, other than as set forth on the Disclosure Schedules, as of the Closing Date, as follows, and the Shareholder hereby acknowledges that the Purchaser is relying upon such representations and warranties in connection with the purchase by the Purchaser of the Corporation Shares and that the Purchaser would not have entered into this Agreement without such representations and warranties:

  • WHEREAS the Trust is an open-end management investment company registered under the Investment Company Act of 1940, as amended (the "1940 Act"); and

  • NOW, THEREFORE the parties hereto agree as follows:

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

  • Notices Any notice, request or other document required or permitted to be given or delivered to the Holder by the Company shall be delivered in accordance with the notice provisions of the Purchase Agreement.
