Common use of Representations and Warranties of the Technical Forestry Advisor Clause in Contracts

Representations and Warranties of the Technical Forestry Advisor. The Technical Forestry Advisor hereby represents and warrants to the Company as follows: (a) TIG is a limited liability company duly organized, validly existing and in good standing under the laws of the State of Delaware, and has the requisite power and authority to carry on its business as presently being conducted. (b) This Agreement, when executed and delivered by TIG, will constitute a valid and legally binding obligation of TIG, enforceable against TIG in accordance with its terms, subject to laws of general application relating to bankruptcy, insolvency, and the relief of debtors, and rules of law governing specific performance, injunctive relief, or other equitable remedies. (c) TIG has made, obtained and performed, in any material respect, all registrations, filings, approvals, authorizations, consents, licenses or examinations required by any governmental authority, foreign or domestic, in order to execute, deliver and perform its obligations under this Agreement. (d) The execution, delivery and performance of this Agreement by TIG will not violate, in any material respect, any law, statute, order, rule, regulation or judgment, order or decree of any U.S. or foreign court or governmental authority, foreign or domestic, to which TIG is subject, nor constitute, in any material respect, a breach, violation or default under the charter, by-laws or other comparable governing instruments of TIG, or the provisions of any agreement or contract to which it is a party or by which it is bound.
