REPRESENTATIONS AND WARRANTIES OF THI. THI hereby represents and warrants to TVMAX: (a) Organization, Power Etc. THI is a corporation duly organized, validly existing, and in good standing under the laws of the jurisdiction in which it was organized and is duly qualified to do business in the jurisdictions in which it conducts business where failure to do so would have a material adverse effect on its financial condition. THI has all requisite power and authority to own, operate, and lease its properties and to carry on its business (including the THI Business) as now being conducted and to execute and deliver this Agreement and to perform its obligations hereunder.
