REPRESENTATIONS AND WARRANTIES OF TSLU AND MERGER SUB. As a material inducement to Chembio to enter into this Agreement or approve the Merger as may be applicable, TSLU and Merger Sub represent and warrant, except as set forth in the TSLU Disclosure Schedule attached hereto as Schedule A that the statements contained in this Section 3 are correct and complete as of the date of this Agreement and shall be correct and complete as of the Closing Date.
