Representations and Warranties of ▇▇▇▇▇▇▇▇▇▇. ▇▇▇▇▇▇▇▇▇▇ represents and warrants to the Company that: (a) the execution and delivery of this Agreement will not be in violation of any order or decree of any court or any governmental body, to which ▇▇▇▇▇▇▇▇▇▇ is a party or which is applicable to ▇▇▇▇▇▇▇▇▇▇; (b) he has not retained (1) any equipment and other property owned by the Company in his possession or (2) any originals and any copies of documents, notes, computer discs, tapes or other tangible or electronic information of any sort which he has in his possession or under his custody or control that is the property of the Company or its Subsidiaries and Affiliates, which is not otherwise available to the public through no fault of ▇▇▇▇▇▇▇▇▇▇; (c) he has received all compensation to which he is due for services rendered to the Company to-date; and (d) he has received all leave to which he is due under the Family and Medical Leave Act.

(b) Each of ▇▇▇▇▇▇▇▇▇▇ and RAI has the power and capacity to execute, deliver and perform this Loan Payment Agreement. The execution, delivery and performance of this Loan Payment Agreement do not and will not (i) violate, or cause ▇▇▇▇▇▇▇▇▇▇ or RAI to be in default, in any material respect under, any provision of any law, rule, regulation, order, judgment, injunction, decree or award in effect applicable to ▇▇▇▇▇▇▇▇▇▇ or RAI, (ii) result in a breach of or constitute a default under any agreement to which ▇▇▇▇▇▇▇▇▇▇ or RAI is a party or by which ▇▇▇▇▇▇▇▇▇▇’▇ or RAI’s property may be bound, or (iii) result in, or require, the creation or imposition of any lien upon or with respect to any of the properties now owned or hereafter acquired by ▇▇▇▇▇▇▇▇▇▇ or RAI.
