Common use of Representations and Warranties to be True Clause in Contracts

Representations and Warranties to be True. The representations and warranties of uKarma herein contained shall be true in all material respects at the Closing with the same effect as though made at such time. uKarma shall have performed in all material respects all obligations and complied in all material respects with all covenants and conditions required by this Agreement to be performed or complied with by it at or prior to the Closing.
