Common use of Representations and Warranties True at the Closing Clause in Contracts

Representations and Warranties True at the Closing. All representations and warranties of Antisense and Biophan contained in this Agreement shall be true and correct in all material respects as of the date of this Agreement and, except to the extent such representations and warranties speak as of an earlier date, as of the time of the Closing as though made on and as of the Closing, and Antisense and Biophan shall have delivered to ITI closing certificates, dated the date of the Closing, to such effect and in the form and substance satisfactory to ITI, and signed, in the case of Antisense and Biophan, by their president and secretary or other authorized persons.
