Common use of Representations and Warranties True at the Closing Clause in Contracts

Representations and Warranties True at the Closing. All representations and warranties of ITI contained in this Agreement shall be true and correct in all material respects as of the date of this Agreement and, except to the extent such representations and warranties speak as of an earlier date, as of the time of the Closing as though made on and as of the Closing, and ITI shall have delivered to Biophan a certificate, dated the date of the Closing, to such effect and in the form and substance satisfactory to Biophan, and signed, in the case of ITI, by its president and secretary.
