Representations and Warranties True on the Closing Date. The representations and warranties of the Company set forth in this Agreement, which include the statements contained in the Company Disclosure Schedule, shall be true and correct in all material respects (a) as of the date of this Agreement (except to the extent such representations and warranties are specifically made as of a particular date, in which case such representations and warranties shall be true and correct as of such date) and (b) as of the Closing Date as though made on and as of the Closing Date (except (i) to the extent such representations and warranties are specifically made as of a particular date, in which case such representations and warranties shall be true and correct as of such date and (ii) for changes contemplated by this Agreement or consented to in writing by the Buyer).
