No representation or warranty by the Members and the Company in this Agreement, or in any exhibit or schedule furnished to Compass by the Company under and pursuant to this Agreement, contains or will contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements contained herein or therein, in light of the circumstances in which they were made, not misleading.
