Representations of Contractor. Contractor represents that it is duly organized, validly existing, and in good standing under the laws of the State of Delaware. Contractor represents that it is empowered and authorized to execute, deliver, and perform its obligations under this Agreement, and, upon such execution and delivery of this Agreement, this Agreement shall be a valid, binding, and legal obligation of the Contractor, enforceable in accordance with its terms and duly authorized by a vote of its Board of Directors in compliance with its certificate of incorporation and bylaws and all applicable laws of the Commonwealth of Massachusetts.
