This Agreement and the Schedules and Exhibits attached hereto do not contain any untrue statement of a material fact concerning the Company or omits any material fact concerning the Company which is necessary in order to make the statements therein not misleading. All of the representations and warranties contained herein (including all statements contained in any certificate or other instrument delivered by or on behalf of the Shareholders pursuant hereto or in connection with the transactions contemplated hereby) shall survive the Closing.
