Common use of Representative of Borrowers Clause in Contracts

Representative of Borrowers. Each Borrower hereby irrevocably designates and appoints Kanbay as agent, representative and attorney-in-fact for each of them, in their names and on their behalf, (i) to receive all notices and take any and all actions Kanbay may deem appropriate in connection with this Agreement, the other Loan Documents and any of the transactions contemplated hereunder, as fully and effectively as each of them could act themselves, (ii) for the receipt of any services or notice of process, and (iii) for the settlement of any dispute or controversy arising hereunder or under any of the other Loan Documents.
