Representatives and Alternates. Each Member shall also have the right to designate one (1) alternate to each Representative designated by such Member (each, an "Alternate"). In the event a Representative is unable to attend a meeting of the Board of Representatives or otherwise participate in any action to be taken by the Board of Representatives, or with respect to any meeting or matter acted upon at a meeting or any other action to be taken by the Board of Representatives, if directed by the Member who designated the Representative, the Alternate named by the applicable Member for such Representative may, and if directed by such Member or such Representative shall, act and vote in place of such Representative. Each Member shall have the right, in its sole and absolute discretion, to designate, remove and replace its Representatives and the Alternates by written notice to the Company and each other Member.
