Repurposed FF&E Clause Samples

Repurposed FF&E. Developer shall promptly relocate to the New Firehouse all or any portion of the Repurposed FF&E as designated in writing by County, provided that, except in the case of the Mission Critical Repurposed FF&E, such relocation shall not be a condition to Substantial Completion of the New Firehouse or occupancy thereof. The relocation of the Mission Critical Repurposed FF&E to the New Firehouse is a condition to Substantial Completion of the New Firehouse (but only if the County has provided timely the schedule for removal and relocation and has provided timely access, all in accordance with Section 2.03(e)). Developer shall coordinate with County and specifically with the County Authorized Representative for the Fire Department to relocate the Mission Critical Repurposed FF&E at such time and in such manner to avoid any interference with the Fire Department’s operations.
Repurposed FF&E. If not already completed prior to the date hereof, then, promptly following the execution hereof, Developer and the County shall jointly evaluate and inventory the furniture, fixtures and equipment located at the Existing Firehouse that will be utilized at the Temporary Firehouse and/or the New Firehouse (collectively, the “Repurposed FF&E”). Such inventory of the Repurposed FF&E shall specifically identify which, if any, items of the Repurposed FF&E need to be in place at the Temporary Firehouse and/or the New Firehouse before County is able to first occupy the Temporary Firehouse or the New Firehouse, as the case may be (the “Mission Critical Repurposed FF&E”). At Developer’s request, the County must (i) provide a schedule for the removal and relocation of the Mission Critical Repurposed FF&E to the Temporary Firehouse or New Firehouse (as applicable) and (ii) provide Developer with such access as is necessary for such removal and relocation, and such schedule and access shall be provided in a timely manner without delay to the Project Schedule.

  • Business Purposes The Loan is solely for the business purpose of Borrower, and is not for personal, family, household, or agricultural purposes.

  • Designated Equipment; Designated Locations The System and the Data Access Services shall be used and accessed solely on and through the Designated Configuration at the offices of the Fund or the Fund Accountants in ▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇ ▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇▇▇ (“Designated Locations”).

  • Business Purpose The Company may conduct any and all lawful business appropriate in carrying out the Company’s objectives, as permitted under Section ▇▇-▇▇-▇▇▇ of the Act.

  • Loan Purpose The loan borrowed hereunder shall be used for turnover of working capital. Without the written consent of the Lender, the Borrower may neither change the loan purpose nor use the loan for any other purposes. The Lender shall have the right to supervise the Borrower’s use of the loan.

  • Investment Purpose As of the date hereof, the Buyer is purchasing the Note and the shares of Common Stock issuable upon conversion of or otherwise pursuant to the Note (including, without limitation, such additional shares of Common Stock, if any, as are issuable (i) on account of interest on the Note, (ii) as a result of the events described in Sections 1.3 and 1.4(g) of the Note or (iii) in payment of the Standard Liquidated Damages Amount (as defined in Section 2(f) below) pursuant to this Agreement, such shares of Common Stock being collectively referred to herein as the “Conversion Shares” and, collectively with the Note, the “Securities”) for its own account and not with a present view towards the public sale or distribution thereof, except pursuant to sales registered or exempted from registration under the 1933 Act; provided, however, that by making the representations herein, the Buyer does not agree to hold any of the Securities for any minimum or other specific term and reserves the right to dispose of the Securities at any time in accordance with or pursuant to a registration statement or an exemption under the 1933 Act.
