Common use of Requested Instructions Clause in Contracts

Requested Instructions. Subject to the provisions of Section 7.2(d), in which case the Custodian shall take instructions only from the Collateral Agent, if the Custodian or the Paying Agent requests instructions from the Company, the Collateral Agent or the Notes Designee with respect to any act, action or failure to act in connection with this Agreement, the Custodian or the Paying Agent, as applicable, shall be entitled (without incurring any liability therefor to any Debtor, any Secured Party or any other Person) to refrain from taking such action and continue to refrain from acting unless and until the Custodian or the Paying Agent, as applicable, shall have received written instructions from the Company, the Notes Designee or the Collateral Agent, as applicable.
