Common use of Required Approvals and Consents Clause in Contracts

Required Approvals and Consents. As soon as reasonably practicable, but in any event, no later than ten (10) Business Days after the Effective Date, Seller shall make all filings required to be made by Seller in order to consummate the transactions contemplated herein. The Parties shall also cooperate with each other with respect to all filings that Buyer elects to make. Seller shall use its commercially reasonable efforts to obtain all Consents, in accordance with its obligations under Section 2.4, required to effect the assignment of the Assumed Contracts and Permits to Buyer.

Seller shall use its commercially reasonable efforts to obtain all Consents, in accordance with its obligations under Section 2.42.5, required to effect the assignment of the Assumed Contracts and Permits to Buyer.
