Required Notices and Consents. The notices, applications and approvals to or from any governmental authority required by law to be given or obtained prior to the transfer of the Governmental Authorizations by Vet Labs to Sparhawk, as set forth on Schedule 3.1(d) hereto, shall have been given or obtained by Vet Labs by the Closing Date.
