Common use of Required Notices and Consents Clause in Contracts

Required Notices and Consents. As of the Closing Date, Seller will have given any notices to third parties that are required to be given in connection with the transfer to Purchaser of any material Acquired Assets, and Seller and Purchaser shall use their commercially reasonable efforts to obtain the Required Consents prior to the Closing. Following the Closing, Purchaser shall cooperate with Seller in connection with Seller's obtaining any Seller Required Consents.
