Common use of Required Third Party Consents Clause in Contracts

Required Third Party Consents. The Administrator shall, or shall cause its applicable Affiliate to, use commercially reasonable efforts to obtain any Required Third Party Consent. The Recipient shall use its commercially reasonable efforts to cooperate and provide such reasonable assistance as may be requested by the Administrator in obtaining any such Required Third Party Consents; provided that, the Administrator shall control all communications and negotiations with any third party from which a Required Third Party Consent is sought to be obtained. If the Parties are not able to obtain a Required Third Party Consent, they shall use commercially reasonable efforts to work together to procure alternative resources to enable the Administrator to provide the Administrative Services that are subject to such Required Third Party Consent or provide the Recipient with access to any applicable information required to be provided under this Agreement that is subject to such Required Third Party Consent, in each case, consistent with the existing Servicing Standards. The costs and expenses incurred by the Administrator in respect of the activities contemplated by this Section 2.7 shall be treated as Transition Costs hereunder.
