Common use of Requirements for Transfers and Exchanges Clause in Contracts

Requirements for Transfers and Exchanges. Subject to this Section 2.10, a Holder of any Note(s) represented by a Physical Certificate may (x) transfer any whole number of such Note(s) to one or more other Person(s); (y) exchange any whole number of such Note(s) for an equal number of Note(s) represented by one or more other Physical Certificates; and (z) if then permitted by the Depositary Procedures, transfer any whole number of such Note(s) in exchange for a beneficial interest in the same number of Note(s) represented by one or more Global Certificates; provided, however, that, to effect any such transfer or exchange, such Holder must: (1) surrender such Physical Certificate representing the Note(s) to be transferred or exchanged to the office of the Registrar, together with any endorsements or transfer instruments reasonably required by the Company, the Trustee or the Registrar; and (2) deliver such certificates, documentation or evidence as may be required pursuant to Section 2.10(D).
