The Requisition Procedure clause outlines the formal process by which one party requests goods, services, or information from another party under a contract. Requisition Procedure. No disbursement from the Escrow Account shall be made unless and until Lessor has approved such requisition. Prior to disbursement from the Escrow Account there shall be filed with the Escrow Agent a requisition for such payment in the form of Disbursement Request attached hereto as Schedule 1, stating each amount to be paid and the name of the person, firm or corporation to whom payment thereof is due. All disbursements shall be made by wire transfer. The Escrow Agent is authorized to obtain and rely on confirmation of such Disbursement Request and payment instructions by telephone call-back to the person or persons designated for verifying such requests on Exhibit A-2 (such person verifying the request shall be different than the person initiating the request). The Lessor and Lessee hereby confirm that any call-back performed by Escrow Agent to verify a disbursement instruction pursuant to a Disbursement Request submitted pursuant to this Section 2(c) before release, shall be made to Lessor only and Escrow Agent shall have no obligation to call-back Lessee. Each such Disbursement Request shall be signed by an authorized representative of Lessee (an “Authorized Representative”) and by Lessor, and shall be subject to the following conditions, which Escrow Agent shall conclusively presume have been satisfied at such time as a requisition executed by Lessee and Lessor is delivered to it:
1. Delivery to Lessor of an executed Disbursement Request in the form attached hereto as Schedule 1; and
2. Delivery to Lessor of copies of invoices (and proofs of payment of such invoices, if Lessee seeks reimbursement) and bills of sale (if title to such Equipment has passed to Lessee) therefor as required by Section 3.04 of the Lease and any additional documentation reasonably requested by Lessor. Lessee and Lessor agree that their execution of the form attached hereto as Schedule 1 and delivery of the executed form to Escrow Agent confirms that all of the requirements and conditions with respect to disbursements set forth in this Section 2 have been satisfied.

Delivery to Lessor true and correct copies of invoices (and proofs of payment of such invoices, if ▇▇▇▇▇▇ seeks reimbursement) and bills of sale (if title to such Equipment has passed to Lessee) therefor as required by Section 1.3 of the Lease and any additional documentation reasonably requested by Lessor. ▇▇▇▇▇▇ and Lessor agree that their execution of the form attached hereto as Schedule I and delivery of the executed form to Escrow Agent confirms that all of the requirements and conditions with respect to disbursements set forth in this Section 2 have been satisfied.
Requisition Procedure. Prior to disbursement from the Acquisition Fund there shall be filed with the Acquisition Fund Custodian a requisition for such payment in the form of an Acceptance Certificate and Disbursement Request attached hereto as Schedule 1 (an “Acceptance Certificate and Disbursement Request”), stating each amount to be paid and the name of the person, firm or corporation to whom payment thereof is due. Each such Acceptance Certificate and Disbursement Request shall be signed by an authorized representative of Lessee (an “Authorized Representative”) and approved by ▇▇▇▇▇▇, shall be executed and delivered by Lessee to Lessor no later than the fifth Business Day next preceding the end of the Acquisition Period and shall be subject to the following:
1. Delivery to Lessor of a completed Acceptance Certificate and Disbursement Request executed by an Authorized Representative of ▇▇▇▇▇▇ and in substantially the form of Schedule 1 attached hereto.
2. Delivery to Lessor of invoices (and proof of payment of such invoices if ▇▇▇▇▇▇ seeks reimbursement) and any additional documentation reasonably requested by ▇▇▇▇▇▇;
3. Delivery to Lessor of the signed Vendor Tax Letter(s) relating to the cost of acquiring and installing the portion of Energy Conservation Equipment for which payment is being sought; and
4. The disbursement shall occur during the Acquisition Period.

Prior to disbursement from the Acquisition Fund [or the Expense Fund], Sub-Lessee shall file with the Acquisition Fund Custodian a requisition for such payment in the form of Disbursement Request attached hereto as Schedule 1, stating each amount to be paid and the name of the person, firm or corporation to whom payment thereof is due. Each such requisition shall be signed by an authorized representative of Sub-Lessee (an “Authorized Representative”) and by ▇▇▇▇▇▇, and shall[, except in the case of a requisition from the Expense Fund,] be subject to the following:
1. Delivery to Lessor of a certificate of Sub-Lessee to the effect that:
(i) an obligation in the stated amount has been incurred by Sub-Lessee, and that the same is a proper charge against the Acquisition Fund for costs relating to the Equipment identified in the Lease, and has not been paid;
(ii) the Authorized Representative has no notice of any vendor’s, mechanic’s or other liens or rights to liens, chattel mortgages, conditional sales contracts or security interest which should be satisfied or discharged before such payment is made; (iii) such requisition contains no item representing payment on account, or any retained percentages which Sub- Lessee is, at the date of such certificate, entitled to retain; and (iv) the Equipment is insured in accordance with the Lease.
2. Delivery to Lessor of an Acceptance Certificate executed by Sub-Lessee together with invoices evidencing transfer of title to the Equipment from the vendor or supplier thereof to Sub-Lessee.
3. The disbursement shall occur during the Acquisition Period set forth in the Schedule applicable to such Equipment.
4. There shall exist no Event of Default under the Lease (nor any event which, with notice or lapse of time or both, would become an Event of Default).

Requisition Procedure. Prior to a direct advance by the Seller, there shall be filed with the Seller a Requisition approved by the Seller. Prior to disbursement from the Project Fund there shall be filed with the Project Fund Custodian a Requisition for such payment approved by the Seller. Each such Requisition shall be signed by the Authorized RESA Representative and approved by the Seller. If any such Requisition for materials, supplies or equipment requires reimbursement for such item to the RESA where title is not in the Seller, such requisition shall so state and shall include any ▇▇▇▇ of sale necessary to convey title in and to such item to the Seller. In making any such disbursement from the Project Fund the Project Fund Custodian may rely on any such Requisition delivered to it pursuant to this Section, and the Project Fund Custodian shall be relieved of all liability with respect to making such disbursements in accordance with such requisitions without inspection of the Project or any other investigation.
Requisition Procedure. Prior to disbursement from the Acquisition Fund there shall be filed with the Acquisition Fund Custodian a requisition for such payment in the form of an Acceptance Certificate and Disbursement Request attached hereto as Schedule 1 (an “Acceptance Certificate and Disbursement Request”), stating each amount to be paid and the name of the person, firm or corporation to whom payment thereof is due. 3. The disbursement shall occur during the Acquisition Period.
Requisition Procedure. Not less than two (2) banking days prior to the date upon which an advance is to be made under the LOAN, the BORROWER shall execute and deliver a fully completed requisition, in form and substance acceptable to the LENDER, containing the specifics required therein relating to the requested advance.
Requisition Procedure. Not less than two (2) BUSINESS DAYS prior to the date upon which an advance is to be made under the EQUIPMENT LINE (other than an advance for purposes of acquisitions, investments in joint ventures or licensing agreements), the BORROWER shall execute and deliver a fully completed Requisition in the form attached hereto as Exhibit B, containing the specifics required therein relating to the requested advance. Prior to making any advance under the EQUIPMENT LINE for acquisitions investments in joint ventures or license agreements, the LENDER shall receive from the BORROWER such information as the LENDER may request in connection with such acquisition, investment in joint venture or licensing agreement. On the date the LENDER is to make an advance of proceeds under the EQUIPMENT LINE to the BORROWER, the BORROWER shall execute and deliver to the LENDER an EQUIPMENT NOTE in the principal amount equal to the sum of the term loan advanced. The principal .amount of each term loan advance made under the EQUIPMENT LINE for the acquisition of EQUIPMENT shall be repaid in even monthly principal installments over a term between three (3) and five (5) years to be determined by the BORROWER and LENDER based on the useful life of the EQUIPMENT purchased by such loan advance. The principal amount of each term loan advanced under the EQUIPMENT LINE for acquisitions, investments in joint ventures and license agreements shall be repaid pursuant to terms agreed to by and between the BORROWER and the LENDER when such advance is made. The LENDER is hereby authorized by the BORROWER to make any advances hereunder directly to the persons or entities supplying EQUIPMENT to the BORROWER that is the subject of any requested advance.
h. Section 3.4.2-c.(i). Section 3.4.2.c.(i) of the LOAN AGREEMENT is hereby amended by deleting the second and third sentences thereof in their entirety and substituting in lieu thereof the following:
