Common use of Resignation Letters Clause in Contracts

Resignation Letters. Resignations, in the form attached hereto as Exhibit A, of each director and each officer of the Company and of Jupiter Europe listed in Section 2.9(viii) of the Sellers Disclosure Schedule, which resignations shall be effective as of the Closing and shall include a release of claims releasing the Company, Purchaser and its Affiliates from any and all claims that such director or officer may have against the Company, Jupiter Europe, Purchaser and their respective Affiliates at the Closing;
