Common use of Resignation of Manager Clause in Contracts

Resignation of Manager. The Operating Member may not voluntarily resign as the Manager, unless otherwise consented to by the Investor Member in its sole discretion. Upon such resignation, the Investor Member shall either assume the role of Manager or appoint a replacement Manager to manage the operations of the Company. The resignation of the Manager shall not affect its rights as a Member and shall not constitute a withdrawal of a Member.
